Terms of Service
The terms governing your use of LEXI Cloud.

1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you") and LexiCo AS, a Norwegian company ("LexiCo", "we", "us"), governing your use of the LEXI Cloud service ("Service") operated at api.lexisaas.com and related dashboard, documentation, and APIs.
By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. Service Description
LEXI Cloud is an AI API proxy that sits between your application and upstream large language model (LLM) providers (such as OpenAI and Anthropic). The Service applies STONE compression to your API requests to reduce context size, thereby reducing your costs with upstream providers.
The Service is a pass-through proxy. It compresses the context of your messages before forwarding them to your chosen LLM provider. LEXI Cloud does not itself generate AI responses — responses come from the upstream provider.
3. Bring Your Own Key (BYOK)
LEXI Cloud operates on a bring-your-own-key model. You are responsible for:
- Providing your own valid API keys for upstream LLM providers.
- Complying with the terms of service, acceptable use policies, and usage limits of your chosen LLM provider(s).
- Maintaining the security and confidentiality of your LLM API keys.
- Any costs incurred with upstream LLM providers as a result of API requests routed through LEXI Cloud.
LexiCo is not a party to your agreement with any upstream LLM provider. We are not responsible for the behaviour, availability, pricing, terms, or data practices of upstream providers.
4. Account and API Keys
To use the Service, you must create an account and generate a LEXI API key. You are responsible for:
- Providing accurate account information.
- Maintaining the security of your LEXI API key. Do not share it or embed it in client-side code.
- All activity that occurs under your account, whether or not authorised by you.
You must notify us immediately at security@lexisaas.com if you believe your account or API key has been compromised. We may suspend your account to prevent further unauthorised use.
5. Acceptable Use
You agree not to use the Service to:
- Process, transmit, or generate content that is illegal under Norwegian law or the laws of your jurisdiction.
- Infringe on intellectual property rights, privacy rights, or other rights of third parties.
- Distribute malware, conduct phishing, or engage in any form of cyberattack.
- Attempt to reverse-engineer, decompile, or extract the proprietary STONE compression algorithms or any other part of the Service.
- Circumvent rate limits, authentication mechanisms, or other security measures.
- Resell or redistribute the Service without prior written agreement from LexiCo.
- Use the Service in any way that could damage, disable, or impair it, or interfere with other customers' use.
We reserve the right to suspend or terminate accounts that violate these terms, with or without prior notice depending on severity.
6. Service Level and Availability
6.1 Best-effort availability
LEXI Cloud is provided on a best-effort basis. While we strive for high availability, we do not guarantee any specific uptime percentage unless a separate Service Level Agreement (SLA) has been agreed upon in writing.
6.2 Graceful degradation
If the STONE compression engine encounters an error or is temporarily unavailable, the Service is designed to fall back to raw forwarding — your request is passed to the upstream provider uncompressed. This means the Service degrades gracefully rather than failing entirely. In fallback mode, you will not receive compression savings but your requests will still be processed.
6.3 Maintenance
We may perform scheduled maintenance that temporarily affects availability. We will provide reasonable advance notice for planned maintenance via the dashboard or email.
7. Billing and Payment
7.1 Pricing
LEXI Cloud uses usage-based pricing. The LEXI processing fee is $0.50 per 1 million tokens processed. Current pricing details are published on our pricing page. We reserve the right to change pricing with 30 days' notice to existing customers.
7.2 Prepaid credits
LEXI Cloud operates on a prepaid credit model. You purchase credits in advance, and credits are deducted per API call based on the number of tokens processed. Payments are processed through Stripe. All amounts are in US Dollars (USD) unless otherwise specified.
7.3 Free passthrough
For models where the upstream cost is below $0.50 per 1 million tokens, LEXI Cloud provides free passthrough — no LEXI fee is charged, as the processing fee would exceed the model's own cost. Free passthrough requests do not deduct from your credit balance.
7.4 Credit expiry and refunds
Prepaid credits do not expire. Unused credits remain in your account indefinitely and carry forward. Prepaid credits are non-refundable but are always available for future usage.
7.5 Taxes
Prices are exclusive of applicable taxes. You are responsible for any VAT, sales tax, or other taxes applicable in your jurisdiction. Norwegian VAT (MVA) will be applied where required by law.
7.6 Insufficient credits
If your credit balance reaches zero, API requests that incur a LEXI fee will be rejected until additional credits are purchased. Free passthrough requests will continue to be processed regardless of your credit balance.
8. Intellectual Property
8.1 Our IP
The STONE compression algorithms, LEXI Cloud software, APIs, documentation, and all related intellectual property are and remain the exclusive property of LexiCo AS. Nothing in these Terms grants you any right, title, or interest in our intellectual property, except the limited right to use the Service as described herein.
8.2 Your content
You retain all rights to the content you transmit through the Service. By using the Service, you grant LexiCo a limited, temporary licence to process your content in memory solely for the purpose of providing the compression service. This licence terminates when the session ends.
9. Limitation of Liability
9.1 Cap on liability
To the maximum extent permitted by Norwegian law, LexiCo's total aggregate liability to you for any claims arising out of or relating to the Service shall not exceed the total fees you paid to LexiCo in the three (3) months immediately preceding the event giving rise to the claim.
9.2 Exclusion of damages
To the maximum extent permitted by law, LexiCo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of whether we were advised of the possibility of such damages.
9.3 Upstream providers
LexiCo is not liable for outages, errors, rate limiting, or any other issues caused by upstream LLM providers. The Service depends on the availability and correctness of third-party APIs that are outside our control.
9.4 Compression results
While STONE compression is designed to preserve semantic content, compression inherently involves transformation of input data. LexiCo does not guarantee that compressed context will produce identical responses to uncompressed context. The Service falls back to raw forwarding if compression would materially degrade quality.
10. Indemnification
You agree to indemnify and hold harmless LexiCo AS, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your violation of these Terms.
- Your violation of the terms of any upstream LLM provider.
- Content you transmit through the Service that infringes third-party rights or violates applicable law.
- Unauthorised use of the Service by third parties using your credentials.
11. Termination
11.1 Termination by you
You may terminate your account at any time through the dashboard or by contacting support@lexisaas.com. Termination takes effect immediately. Any remaining prepaid credits are non-refundable.
11.2 Termination by us
We may terminate or suspend your account with 30 days' written notice for any reason, or immediately without notice if:
- You breach Section 5 (Acceptable Use).
- Your account is used for illegal activity.
- Required to do so by law or court order.
11.3 Effect of termination
Upon termination, your access to the Service will cease. In accordance with GDPR:
- Your personal data will be deleted within 30 days of termination.
- Usage and billing records will be retained as required by Norwegian accounting law.
- You may request an export of your personal data before termination.
Sections 8 (Intellectual Property), 9 (Limitation of Liability), 10 (Indemnification), and 13 (Governing Law) survive termination.
12. Modifications to Terms
We may modify these Terms from time to time. Material changes will be communicated via email to registered account holders at least 30 days before taking effect. The updated Terms will also be posted on this page with a revised date.
If you do not agree with the modified Terms, you may terminate your account before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the modified Terms.
13. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of Norway, without regard to conflict-of-law principles.
Any dispute arising out of or in connection with these Terms that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of Norway, with Oslo District Court (Oslo tingrett) as the agreed venue of first instance.
14. Miscellaneous
14.1 Entire agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and LexiCo regarding the Service and supersede all prior agreements and understandings.
14.2 Severability
If any provision of these Terms is found to be unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
14.3 No waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.
14.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. LexiCo may assign these Terms in connection with a merger, acquisition, or sale of assets.
